Terms of Service

These Terms govern your access to and use of the GoGo Engine platform, websites, and APIs (collectively, the “Services”). By using the Services, you agree to these Terms. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have authority to bind that entity.

1. Account & access

You are responsible for activity that occurs under your account, including the activity of any users you invite. You will keep credentials confidential, enable available security features (SSO, 2FA), and notify us promptly of any unauthorized access.

2. Acceptable use

You will not use the Services to violate law, infringe rights, distribute malware, send unsolicited messages, attack the Services, or attempt to access data beyond your permission scope. We may suspend access if we reasonably believe you are doing so.

3. Customer data

You retain ownership of customer data you submit to the Services. You grant us a limited license to host, process, transmit, and display the data solely to provide the Services. We will not access customer data except to provide the Services, comply with the law, or with your explicit authorization.

4. Payments

Subscriptions are billed monthly or annually, in advance. Fees are non-refundable except where required by law or per our migration guarantee (see Section 8). You authorize us to charge your designated payment method for fees and applicable taxes.

5. Term & termination

Either party may terminate at any time, effective at the end of the current term. Upon termination, you may export your data via API or CSV for 30 days. After 30 days, we may permanently delete the data.

6. Service levels

We target high availability for the production Services and publish operational status at status.gogoengine.com. Specific service-level commitments and credits, where applicable, are addressed in your subscription order or in a separately executed enterprise agreement.

7. Confidentiality

Each party will protect the other’s confidential information using a reasonable standard of care, will use it only for the purpose of these Terms, and will not disclose it except to personnel with a need to know.

8. Migration guarantee

If during initial onboarding we cannot migrate your data with reconciliation to the cent within 14 days, we will continue migration efforts at no charge or refund your annual subscription, at your election.

9. Disclaimers & liability

The Services are provided “as is” without warranties of any kind. To the fullest extent permitted by law, neither party will be liable for indirect, incidental, special, or consequential damages, and our aggregate liability will not exceed fees paid in the 12 months preceding the claim.

10. Changes

We may modify these Terms by posting a revised version with an updated date. Material changes will be communicated by email at least 30 days in advance.

11. Governing law

These Terms are governed by the laws of the State of Delaware, USA, without regard to its conflict of laws principles. Any dispute will be brought in the state or federal courts located in New Castle County, Delaware.
